Price4Parts Marketplace
Effective as of: 10-04-2026
These General Terms and Conditions (“GTC”) govern the use of the online platform operated by Price4Parts GmbH for the intermediation of industrial manufacturing services.
By registering or using the platform, users accept these GTC.
1. Definitions
Platform / Service
The digital marketplace operated by Price4Parts GmbH at www.price4parts.com as well as all associated services.
Price4Parts / Operator
Price4Parts GmbH.
User
Any natural or legal person using the platform.
Buyer
Users who request or commission manufacturing services or components via the platform.
Seller / Provider / Supplier
Users who offer manufacturing services via the platform.
Project
A request, order, or collaboration between Buyer and Seller.
Account
A registered user account for using the platform.
Affiliated Companies
Companies that are directly or indirectly under common control or are economically connected.
2. Subject Matter of the Contract
Price4Parts operates a digital platform for initiating business relationships.
The platform enables companies to request manufacturing orders and receive offers from manufacturers.
Price4Parts provides exclusively the technical infrastructure.
Payment processing is carried out via external payment service providers, in particular Stripe.
Price4Parts is not a party to the payment processing and is not liable for payment disruptions, delays, holds, or chargebacks.
Price4Parts is not a payment service provider and has no access to payment flows.
Further provisions regarding payment processing are set out in Section 17 of these GTC.
Invoices for goods or manufacturing services are issued exclusively between Buyer and Seller.
Transport, shipping, customs processing as well as import and export formalities are carried out exclusively between Buyer and Seller.
All delivery, shipping, transport, customs, and other ancillary costs are agreed and handled exclusively between Buyer and Seller.
Unless expressly agreed otherwise, delivery costs are not part of offers and must be clarified separately between Buyer and Seller.
Price4Parts assumes no responsibility for the calculation, presentation, or accuracy of such costs.
Price4Parts also assumes no liability for transport damage, delivery delays, loss of goods, or other damages arising in connection with shipping.
Shipping risk lies exclusively with Buyer and Seller.
Unless otherwise agreed between Buyer and Seller, deliveries are deemed EXW (Ex Works) in accordance with the respective current Incoterms.
Transport insurance is not provided or mediated by Price4Parts.
Price4Parts does not owe economic success, no intermediation of orders, and no specific visibility or capacity utilization.
Geographical Scope of the Platform
The Price4Parts platform is aimed at companies worldwide.
There is currently no targeted orientation toward the market of the United States of America.
Price4Parts reserves the right to expand the geographical scope of the platform in the future.
Use of the platform in connection with business relationships involving the United States is at the sole responsibility of the users.
Price4Parts assumes no responsibility for legal requirements, regulatory provisions, or liability risks arising from transactions involving the United States.
Price4Parts does not direct marketing or sales activities specifically toward the US market.
Price4Parts assumes no responsibility for tax obligations, customs processing, import or export formalities, or other regulatory requirements in connection with transactions conducted via the platform.
Price4Parts provides exclusively a technical platform.
Contracts for services are concluded exclusively between the Buyer and the Provider. Price4Parts does not become a contractual party to these contracts.
Invoicing for the services offered is carried out exclusively by the Provider. Price4Parts is not the issuer of invoices.
Payment by the Buyer is made exclusively to fulfill the claim against the Provider.
If Price4Parts provides technical functions for the creation of invoice documents, this is done exclusively in the name and on behalf of the Provider. Price4Parts assumes no legal or tax responsibility for the contents of the invoices.
3. Role of the Platform
Price4Parts provides exclusively a technical platform.
Contracts for manufacturing services arise exclusively between Buyer and Seller.
Price4Parts does not become a contractual party to these contracts.
Price4Parts does not provide brokerage, intermediation, commercial agency, or advisory services in the legal sense.
Price4Parts assumes no responsibility for:

preparation of offers
-
pricing
-
production quality
-
delivery times
-
contract performance
Price4Parts assumes no responsibility for the creditworthiness or performance capability of users.
Price4Parts does not verify supplier profiles for technical capability, production capacity, or quality of the services offered.
Price4Parts is neither manufacturer, seller, nor supplier of the products or manufacturing services offered via the platform.
Price4Parts GmbH does not provide payment services and is not involved in the processing of payments.
The display, selection, or algorithmic assignment of suppliers or offers does not constitute a recommendation or evaluation and does not establish any liability of Price4Parts.
References such as “Find us on Price4Parts” or comparable representations serve exclusively to indicate a user’s presence on the platform.
They do not in particular constitute certification, quality assurance, recommendation, or guarantee by Price4Parts.
Price4Parts does not in particular verify the technical feasibility, suitability for a specific purpose, or regulatory compliance of products or services.
Price4Parts assumes no regulatory or environmental obligations in connection with the offered products.
Price4Parts is entitled to take measures to ensure compliance with these GTC, to ensure platform integrity, and to prevent misuse.
Such measures do not establish any substantive responsibility or participation in the contracts concluded between users.
The use of such references must not be misleading and must in particular not suggest a business relationship, partnership, certification, or recommendation by Price4Parts unless such exists explicitly.
Price4Parts is entitled to prohibit or remove the use of such references or representations at any time.
The algorithmic selection, display, or assignment of suppliers or offers does not constitute a recommendation, evaluation, or suitability assessment.
The presentation, order, and selection of suppliers or offers is carried out automatically and does not establish any claim to visibility, placement, or preferential treatment.
Price4Parts does not guarantee the constant availability of the platform.
Price4Parts provides no warranty for the services offered or performed via the platform.
The liability of Price4Parts is – to the extent legally permissible – limited to the platform fees paid by the respective user in the last 12 months.
Price4Parts is not liable for loss of profit, indirect damages, or consequential damages.
Price4Parts is not liable for damages caused by unauthorized access by third parties, in particular through hacking attacks, data misuse, security breaches, or other IT-related attacks, unless these are based on intentional or grossly negligent conduct by Price4Parts.
Price4Parts is not liable for damages resulting from fraudulent acts of third parties, in particular phishing, social engineering, misdirected payments, or comparable cases of misuse.
Users are obliged to store their access data securely and protect it from unauthorized access. Price4Parts is not liable for damages resulting from insufficient protection of access data.
Price4Parts is not liable for damages, delays, or failures resulting from events beyond the control of Price4Parts.
This includes in particular cases of force majeure, natural disasters, war, geopolitical tensions, sanctions, governmental measures, failures of infrastructure or energy supply, as well as other unforeseeable events.
Price4Parts is not liable for errors, disruptions, or security incidents in connection with the use of external payment service providers or their interfaces (APIs), including incorrect data transmissions, unauthorized access, or manipulation by third parties, unless these are based on intentional or grossly negligent conduct by Price4Parts.
Price4Parts assumes no responsibility for the technical integration, availability, or security of external payment service providers.
Price4Parts assumes no responsibility for the accuracy, completeness, or legal compliance of imprint information provided by users.
Price4Parts uses external service providers and technical systems (e.g. payment providers, hosting providers, file and communication services) to provide the platform.
Price4Parts assumes no liability for:
-
availability or functionality of these services
-
data loss, delays, or transmission errors
-
security incidents outside the control of Price4Parts
To the extent permitted by law, liability for such cases is excluded.
A current overview of the third-party providers and technical service providers used is available on the platform.
4. Registration
Use of the platform requires the registration of an account.
Users undertake to:
-
provide accurate company data
-
treat access data confidentially
-
not share accounts
-
use the platform only for commercial purposes
-
The use of the platform is reserved exclusively for persons of legal age and with full legal capacity.
By registering, the user confirms that they are of legal age and entitled to conclude legally binding contracts.
Users acting as suppliers are obliged to provide a legally complete and up-to-date imprint and to keep it visible on their profile.
5. Supplier Verification
Price4Parts may verify suppliers before full use of the platform.
For this purpose, Price4Parts may use external payment and identity service providers, in particular Stripe Connect.
Verification does not constitute a guarantee of quality or performance capability.
Price4Parts reserves the right to reject supplier profiles or refuse use of the platform if there are justified doubts regarding the identity, reliability, or legal admissibility of the services offered.
5a. Classification, Limits and Platform Logic
Price4Parts operates an internal system for evaluating and classifying suppliers as well as for managing platform risks.
Based on this classification, the following restrictions or extensions may apply in particular:

maximum project size
-
number of simultaneously active projects
-
visibility within the platform
-
access to certain inquiries or functions
Classification is based on objective criteria, in particular:
-
previous project history
-
ratings by other users
-
quality and reliability
-
compliance with delivery times
-
transaction volume
-
risk assessments
In addition, external requirements, in particular by payment service providers (e.g. Stripe), may lead to further restrictions.
The decisive factor is always the lower limit from:
-
external (e.g. regulatory or payment-related) requirements and
-
platform-internal classifications.
There is no entitlement to a specific classification, visibility, or certain limits.
Price4Parts is entitled to adjust classifications and limits at any time, in particular for reasons of security, compliance, or risk management.
6. Use of the Platform
The platform may only be used for lawful business purposes.
Suppliers are obliged to independently comply with all statutory information obligations, in particular imprint obligations.
In particular, the following are prohibited:
-
false information about companies
-
manipulation of offers
-
unlawful content
-
misuse of the platform
-
unsolicited contact, spam, mass messaging, or harassment of other users
-
Communication between Buyer and Seller must generally take place via the platform, insofar as this is possible and reasonable for the execution of projects.

Users are not entitled to use the platform’s communication functions to initiate or conduct business relationships outside the platform, insofar as these fall under the non-circumvention prohibition.
In the case of missing, incomplete, or obviously incorrect imprint information, Price4Parts is entitled to restrict, block, or remove supplier profiles.
Use of the platform without a serious intention to conclude a transaction is not permitted.
This applies in particular to use solely for market analysis, supplier search, or price research without a concrete intention to place an order.
6a. Communication between Users
Price4Parts provides exclusively the technical communication functions of the platform.
Price4Parts assumes no responsibility for the content, accuracy, completeness, or legal validity of messages, offers, technical information, or other information exchanged between users.
All communication takes place exclusively between users at their own responsibility.
Price4Parts is not obliged to monitor, review, or evaluate communication between users.
Price4Parts is entitled to review and evaluate communication content, messages, files, and other information exchanged via the platform on a random basis or where there is cause, insofar as this is necessary for:

ensuring compliance with these GTC and usage guidelines
-
preventing misuse, circumvention of the platform, or unlawful acts
-
ensuring the security and integrity of the platform
-
compliance with legal obligations
Substantive or continuous monitoring of communication does not take place.
In the event of violations of the GTC or statutory provisions, Price4Parts is entitled to take appropriate measures, in particular:
-
warning
-
restriction of functions
-
blocking of content
-
temporary or permanent suspension of the account
-
exclusion from the platform
There is no entitlement to response times, feedback, or the establishment of communication.
6b File Uploads and Technical Restrictions
a) Users may upload files, in particular CAD files, within the platform.
(b) Price4Parts provides only a technical infrastructure for this purpose and assumes no responsibility for the content, quality, usability, or technical suitability of uploaded files.
(c) Price4Parts is entitled to define technical and organizational restrictions for uploads at any time. This applies in particular to:
permitted file formats
maximum file sizes
number of files per upload or project
total upload volume
storage duration
technical requirements for system security
(d) Price4Parts is entitled to reject, restrict, block, or delete uploads in whole or in part if:
technical requirements are not met
security risks exist (e.g. malware, unusual data volumes)
the stable operation of the platform may be impaired
or legal or regulatory requirements require this
(e) There is no entitlement to storage, processing, or permanent retention of files.
(f) Users are obliged to ensure that uploaded files:
are free of malware
do not infringe third-party rights
and are suitable and complete for the respective use
(g) Price4Parts is not obliged to check uploaded files for substantive, technical, or legal defects.
(h) Responsibility for the accuracy, completeness, and technical feasibility of CAD files and other technical data lies exclusively with the user.
There is no entitlement to permanent storage or availability of communication content.
(i) Price4Parts is not liable for data loss, transmission errors, incomplete or faulty uploads, technical alterations of files, or other technical disruptions in connection with the upload, storage, or transmission of files, regardless of file type (in particular CAD files, drawings, models, or other technical data).
Storage and processing of files may take place via external service providers.
Users agree that uploaded content may be processed and stored via such systems.
The user guarantees that they hold all necessary rights to uploaded content.
Price4Parts assumes no liability for infringements of third-party rights.
6c Use of the Platform
All rights to technical data, in particular CAD files, drawings, and models, remain with the respective rights holder.
Use outside the respective project is not permitted.
6d Human Rights and Supply Chain
(1) Users undertake to comply with applicable human rights and labor law regulations in all business relationships initiated or conducted via the platform.
(2) In particular, users undertake not to offer, manufacture, or supply products or services that have been created in violation of fundamental human rights standards.
(3) This includes in particular the prohibition of:
-
child labor
-
forced or compulsory labor
-
modern slavery or inhumane working conditions
-
discrimination or unlawful unequal treatment
-
violations of fundamental occupational safety regulations
(4) Users are obliged to take appropriate measures to ensure compliance with these standards also within their supply chains, insofar as this is required by the applicable legal provisions.
(5) Price4Parts assumes no obligation to verify compliance with human rights or social standards.
(6) Price4Parts is entitled to block or remove projects, offers, or user accounts if there are concrete indications of violations of the obligations set out in this section.
(7) Users shall indemnify Price4Parts against all claims arising from violations of human rights or supply chain regulations.
6e Environmental and Disposal Obligations
Responsibility for disposal, take-back, recycling, and compliance with
all environmental and waste law regulations lies exclusively with the users.
Suppliers are obliged to independently fulfill any statutory take-back obligations.
Buyers are responsible for proper disposal insofar as no take-back obligation exists.
Price4Parts assumes no obligations in connection with disposal,
take-back, or recycling.
6f Misuse
Misuse of the platform exists in particular in the case of:
-
circumvention of the platform or payment processing
-
use for the collection of supplier or price information without intention to conclude a contract
-
spam, harassment, or impermissible contact
-
violation of statutory provisions or these GTC
Price4Parts is entitled to take measures pursuant to Section 7 in the event of misuse.
6g Circumvention of the Platform
(1) Users may not conclude or continue business relationships initiated via the platform outside the platform.
(2) This applies in particular also to follow-up transactions between Buyer and Seller within 24 months after the first contact via the platform.
(3) In the event of a violation, Price4Parts is entitled to subsequently assert the lost platform fees.
(4) In addition, Price4Parts may demand an appropriate contractual penalty. The amount of the contractual penalty depends on the economic scope of the circumvented transaction and may amount to up to €10,000 per violation in individual cases.
(5) Further claims of Price4Parts remain unaffected.
6h Reviews and Review System
(1) Price4Parts may provide a review system through which users may review other users in connection with completed projects.
(2) Reviews must be objective, truthful, and comprehensible and must be based on actual experience within the framework of a project conducted via the platform.
(3) In particular, the following are not permitted:
-
untrue statements of fact
-
insulting, defamatory, or unlawful content
-
reviews without actual project reference
-
manipulation of reviews, in particular through self-reviews or coordinated reviews
(4) Price4Parts assumes no responsibility for the content of reviews.
(5) Price4Parts is entitled to review, block, or remove reviews in whole or in part if there are concrete indications of violations of these GTC or statutory provisions.
(6) There is no entitlement to publication or permanent storage of reviews.
Price4Parts may use reviews for the display, weighting, and prioritization of suppliers within the platform.
6i Liability for Technical Data and CAD Files
Price4Parts is not liable for damages arising from faulty, incomplete, or unsuitable CAD files or technical specifications.
This applies in particular to production defects, rejects, delays, business interruptions, loss of profit, as well as other indirect or direct consequential damages.
6j Circumvention of the Platform
Users may not conclude or continue business relationships initiated via the platform outside the platform.
This also applies to follow-up transactions within 24 months after initial contact.
Price4Parts is entitled to take corresponding measures in the event of violations and to subsequently assert incurred fees.
7. Removal of Content and Profiles
Price4Parts is entitled to remove or block content if such content:
-
violates laws
-
violates these GTC
-
infringes third-party rights
-
endangers the security of the platform
Price4Parts may change, restrict, or remove supplier profiles, project inquiries, or content at any time.
Price4Parts is entitled to temporarily suspend or technically block transactions for security or compliance reasons.
There is no entitlement to use of the platform.
Price4Parts is entitled to temporarily or permanently block or delete user accounts at any time and without stating reasons.
There is no entitlement to restoration of the account.
Price4Parts is not liable for lost revenue, profits, or business opportunities resulting from the restriction, suspension, or termination of user accounts.
7a. Payment Processing and Release
Payment processing is carried out exclusively via external payment service providers (e.g. Stripe).
Price4Parts has no access to the payment amounts at any time.
Price4Parts becomes neither debtor nor creditor of the payment claim.
Payment by the buyer is made exclusively to fulfill the claim against the supplier.
8. Non-Circumvention Prohibition
Buyer and Seller undertake not to process contacts or projects established via the platform outside the platform.
Further provisions regarding protection against circumvention are set out in the following provisions.
9. Continuing Protection Against Circumvention
Buyer and Seller undertake not to process contacts or projects established via the platform outside the platform.
This obligation applies for 24 months after the last contact or project between the parties initiated via the platform.
The last platform contact includes in particular:
-
a project inquiry
-
submission of an offer
-
a message via the platform
-
the exchange of technical information
-
a project arranged via the platform.
The period begins anew with each last documented platform contact.
It is presumed that a business relationship was established via the platform if a contact, inquiry, or communication previously took place via the platform.
10. Extended Protection Against Circumvention
The non-circumvention prohibition also applies to:
-
follow-up orders
-
series productions
-
framework agreements
-
long-term supply relationships
-
indirect transactions via affiliated companies
11. Lead Ownership
A contact shall be deemed to have been established via the platform if:
-
a project inquiry was submitted
-
messages were exchanged via the platform
-
an offer was submitted via the platform
-
a profile contact was established via the platform
12. Platform Commission for Follow-Up Transactions
If follow-up transactions are concluded based on a contact established via the platform, Price4Parts retains entitlement to platform fees in accordance with the fee schedule.
13. Revenue Protection in Long-Term Business Relationships
If series productions or framework agreements occur, the business relationship shall be deemed to have been initiated via the platform.
13a. Continued Platform Entitlement for Follow-Up Transactions
If a permanent business relationship or series production arises between Buyer and Seller after an initial contact established via the platform, Price4Parts retains entitlement to platform fees.
13b. Non-Solicitation
Sellers may not actively solicit Buyers outside the platform.
13c. Long-Term Platform Protection (Supplier Non-Circumvention)
If an initial contact between Buyer and Seller is established via the platform and a permanent business relationship or series production arises from this, this relationship shall be deemed to have been initiated via the platform.
13d. Presumption of a Business Relationship Initiated via the Platform
If a further order, series production, framework agreement, or other economic cooperation is agreed between Buyer and Seller after an initial contact established via the platform, it is presumed that this business relationship is based on the contact established via the platform.
This applies regardless of,
-
whether the specific project differs in technical details
-
whether a new product was developed
-
whether the contract was concluded outside the platform.
In such cases, Price4Parts retains entitlement to the corresponding platform fees in accordance with the fee schedule.
14. Damages in the Event of Circumvention of the Platform
In the event of circumvention, Price4Parts may claim damages.
15. Contractual Penalty
In the event of a violation, a contractual penalty of up to €10,000 may be demanded.
16. Fees
The provisions of the fee schedule apply to use.
Changes to the Fee Schedule
Price4Parts is entitled to amend the fee schedule with effect for the future. Changes shall be communicated to users in text form at least 30 days before they take effect.
If the user does not object to the change within 30 days after receipt of the notice, the changes shall be deemed accepted. The user shall be specifically informed of this right to object.
In the event of an objection, Price4Parts is entitled to terminate the contractual relationship ordinarily.
16a. Taxes
Users are themselves responsible for compliance with all tax regulations in connection with the use of the platform and the transactions concluded via the platform.
This applies in particular to:
-
value added tax (VAT)
-
reverse charge procedure
-
import and export duties
-
other national or international tax obligations
Price4Parts assumes no responsibility for the tax treatment of transactions between users.
The respectively current fees are set out in the fee schedule, which is an integral part of the contractual provisions.
17. Payment Processing
Payments are made via external payment service providers, in particular Stripe (e.g. Stripe Connect).
Price4Parts is not a payment service provider and has no access to payment flows.
Payment processing takes place exclusively between users and the respective payment service provider.
The availability and payout of funds are governed exclusively by the conditions of the respective payment service provider.
Price4Parts has no influence on payment releases, delays, or holds by the payment service provider and assumes no liability for this.
Payment release takes place exclusively within the systems of the payment service provider. Price4Parts makes no independent decisions regarding payment releases.
For the technical safeguarding of transactions, payment releases, holds, or delayed payouts may be provided within the systems of external payment service providers.
Price4Parts has no access to the payment amounts at any time.
Price4Parts becomes neither debtor nor creditor of the payment claim.
Payment by the buyer is made exclusively to fulfill the claim against the supplier.
(1) Payment Release
Release of payment takes place:
by express confirmation of the buyer (Buyer), or
automatically if no objection is raised
By releasing the payment, the buyer confirms that the service has been rendered in accordance with the contract.
Payment release takes place exclusively within the systems of the respective payment service provider. Price4Parts makes no independent decisions regarding payment releases and has no influence on their execution.
(2) Automatic Release
If no objection is raised within 14 days after transmission of the shipping or performance confirmation by the supplier (Seller), the service shall be deemed accepted and payment may be released automatically.
Transmission includes in particular the provision of corresponding information or status notifications via the platform.
(3) Objections
Objections regarding the service must be asserted against the respective supplier (Seller) within the above-mentioned period.
After release of payment has taken place, objections regarding performance must be asserted exclusively against the supplier.
Price4Parts is not a contractual party to the contracts concluded between Buyer and Seller and assumes no liability for performance.
Claims against Price4Parts are excluded in this respect.
After expiry of the period stated in paragraph (2), objections regarding performance are excluded to the extent permitted by law.
(4) Partial Payments and Milestones
Payments may be made in installments, in particular on the basis of project progress or agreed milestones.
The agreement is made exclusively between Buyer and Seller.
Price4Parts merely provides the technical infrastructure for this purpose.
Price4Parts may make the availability of partial payments, milestone payments, or other payment functions dependent on an internal scoring, activation, or limitation system.
There is no entitlement to activation of specific payment functions.
(5) Payment Release for Partial Payments
Release of individual partial payments takes place in each case:
by express confirmation of the buyer, or
automatically if no objection is raised
The provisions of this Section 17 apply accordingly to each partial payment.
(6) No Project Responsibility
Price4Parts assumes no coordination, monitoring, or management of projects, milestones, or partial services
18. Protection of Technical Data
Technical data and design information must be treated confidentially.
18a. Prohibition of Product Copying
Suppliers may not use products or designs without consent.
18b. Project Confidentiality
Project-related information shall be deemed confidential.
19. Intellectual Property
All rights to uploaded content remain with the rights holder.
Users are themselves responsible for the content provided by them.
Price4Parts is not obliged to review uploaded content or technical data for accuracy, completeness, or legal permissibility.
20. Platform Misuse
The following are prohibited in particular:
-
scraping
-
bots
-
data collection
21. Export Control and Foreign Trade Law
Buyer and Seller undertake to comply with all applicable export control, foreign trade, and sanctions regulations.
This includes in particular, where applicable:
-
EU Dual-Use Regulation (EU) 2021/821
-
export control laws of the European Union
-
national export control laws of the respective manufacturing or delivery country
-
US Export Administration Regulations (EAR), where applicable
-
international sanctions regulations
Users are themselves responsible for compliance with all applicable provisions in connection with the export, re-export, transfer, or provision of goods, technologies, or services.
22. Responsibility for Dual-Use Goods
Sellers are solely responsible for compliance with all applicable export control and dual-use regulations.
In particular, suppliers undertake to ensure that:
-
no goods requiring authorization are delivered without the required export license
-
no prohibited technologies are transferred
-
no military end uses or prohibited uses are circumvented
-
all necessary authorizations are obtained prior to export
Classification of products as dual-use goods or goods requiring authorization lies exclusively within the responsibility of the respective supplier.
23. End-Use and End-User Checks
Sellers undertake to carry out appropriate checks regarding:
-
the end-use purpose (End-Use)
-
the end user (End-User)
insofar as this is required under applicable export control regulations.
Sellers may not carry out deliveries if:
-
there is suspicion that products will be used for military or other prohibited purposes
-
the end user cannot be sufficiently identified
-
statutory export restrictions exist
24. Sanctions and Sanctions List Screening
Buyer and Seller undertake to ensure that neither they themselves nor their beneficial owners or business partners are listed on international sanctions lists.

25. Embargoes and Prohibited Countries
The platform may not be used for transactions that violate international embargoes or trade restrictions.
In particular, no transactions may be carried out that violate sanctions or trade prohibitions against fully sanctioned countries.
This includes in particular (where applicable):

Iran
-
North Korea
-
Syria
or other countries against which comprehensive international trade restrictions exist.
26. No Export Responsibility of the Platform
Price4Parts provides exclusively the technical infrastructure.
Price4Parts assumes no responsibility for:

export classification of products

obtaining export licenses
-
compliance with export control regulations
-
sanctions list screening
-
end-use or end-user checks
This responsibility lies exclusively with Buyer and Seller.
Users shall indemnify Price4Parts against all claims arising from violations of export control or sanctions regulations.
26a Environmental and Disposal Responsibility (Detailed Provisions)
(1) Responsibility for compliance with all environmental law provisions, in particular in connection with disposal, take-back, recycling, or labeling of products, lies exclusively with the users of the platform.
(2) This concerns in particular, where applicable:

regulations on the disposal of electrical and electronic equipment
-
battery regulations
-
chemical law requirements
-
product-specific environmental and disposal obligations
(3) Users are in particular themselves responsible for:
-
registration obligations
-
take-back and disposal systems
-
labeling obligations
-
information obligations toward end customers
(4) Price4Parts assumes no manufacturer, dealer, or distributor obligations and is not responsible for compliance with corresponding regulations.
(5) Users shall indemnify Price4Parts against all claims arising from violations of environmental or disposal law provisions.
27. Compliance Screening
Price4Parts is entitled to review users, projects, transactions, or content for possible violations of export control, sanctions, or embargo regulations.
Price4Parts may in particular:

review projects or offers
-
request additional information or evidence
-
temporarily suspend or remove projects
-
restrict or block user accounts
Price4Parts is entitled to reject or stop projects or transactions if there is suspicion that these could violate export control, sanctions, or embargo regulations.
Such a review does not establish any obligation of Price4Parts to conduct export control checks.
Responsibility for compliance with export control and sanctions regulations remains exclusively with Buyer and Seller.
27a. Anti-Money Laundering and Illegal Financial Flows
Users undertake not to use the platform for money laundering, terrorist financing, or other illegal financial transactions.
In particular, it is prohibited to:

conduct sham transactions via the platform
-
post or process projects without actual economic performance
-
use payments via the platform to conceal money flows
-
use platform transactions to circumvent statutory financial regulations
Price4Parts is entitled to review projects, transactions, or user accounts if there are indications of:

money laundering
-
terrorist financing
-
fraud
-
unusual or economically incomprehensible transactions
Price4Parts may in such cases in particular:

request additional information or company evidence
-
temporarily suspend projects or transactions
-
block or reject payments
-
restrict or block user accounts
If legally required, Price4Parts may report suspicious activities to competent authorities or financial supervisory bodies.
Responsibility for the lawful origin of the funds used as well as for compliance with all applicable anti-money laundering regulations lies exclusively with the users of the platform.
27b. Fraud Prevention and Misuse of the Platform
Users undertake not to use the platform for fraudulent or misleading activities.
In particular, it is prohibited to:

post false or misleading projects

submit offers without serious business intention

use platform functions to deceive other users
-
create artificial transactions or sham projects
-
manipulate or conceal payment flows
Price4Parts is entitled to review projects, offers, or user accounts if there are indications of:

fraud

misuse of the platform

unusual or economically incomprehensible activities
Price4Parts may in such cases in particular:

request additional information or evidence

suspend or remove projects or offers

reject transactions

restrict or block user accounts
28. Product and Compliance Responsibility
(1) Responsibility for compliance with all statutory, regulatory, and technical requirements in connection with the products offered, manufactured, distributed, or delivered via the platform lies exclusively with the users.
(2) This includes in particular, where applicable:

product safety regulations
-
CE marking obligations
-
technical norms and industry standards
-
environmental and disposal regulations
-
chemical law requirements (e.g. REACH)
-
regulations on electrical and electronic equipment (e.g. WEEE)
-
battery law regulations
-
labeling, documentation, and information obligations

import, export, and customs regulations
(3) Sellers are in particular responsible for:

lawful manufacture of the products
-
compliance with all applicable technical and regulatory requirements
-
proper labeling (e.g. CE, warnings)
-
provision of required documentation
-
compliance with product safety regulations
(4) Buyers are in particular responsible for:

lawful use of the products
-
compliance with all import, entry, and usage regulations
-
checking whether additional regulatory requirements apply for their use
(5) Price4Parts assumes no responsibility for:

the legal permissibility of products
-
compliance with statutory provisions
-
technical or regulatory conformity
-
the marketability of products
-
fulfillment of labeling or documentation obligations
(6) Price4Parts is neither manufacturer, dealer, importer, nor distributor of the products or services offered via the platform.
(7) No review of products, technical data, CAD files, or project content for regulatory or technical conformity is carried out.
29. Human Rights and Supply Chain
(1) Users undertake to comply with applicable human rights and labor law regulations in all business relationships initiated or conducted via the platform.
(2) In particular, users undertake not to offer, manufacture, or supply products or services that have been created in violation of fundamental human rights standards.
(3) This includes in particular the prohibition of:

child labor
-
forced or compulsory labor
-
modern slavery or inhumane working conditions
-
discrimination or unlawful unequal treatment
-
violations of fundamental occupational safety regulations
(4) Users are obliged to take appropriate measures to ensure compliance with these standards also within their supply chains, insofar as this is required by the applicable legal provisions.
(5) Price4Parts assumes no obligation to verify compliance with human rights or social standards.
(6) Price4Parts is entitled to block or remove projects, offers, or user accounts if there are concrete indications of violations of the obligations set out in this section.
(7) Users shall indemnify Price4Parts against all claims arising from violations of human rights or supply chain regulations.
30. Use of Anonymized Data
Price4Parts may analyze platform data in anonymized form.
30a. User Identity and Pseudonymization
(1) Users are obliged to appear on the platform exclusively under a self-chosen username (pseudonym).
(2) The use of real names, company names, contact details, or other identifying information in the username is not permitted insofar as these enable direct identification or circumvention of the platform.
(3) It is likewise prohibited to share contact details or identifying information within platform communication (e.g. messages, offers, descriptions) insofar as this is suitable for initiating or conducting transactions outside the platform.
(4) Price4Parts is entitled to change usernames, remove content, or block user accounts if these violate the above provisions.
(5) Statutory mandatory information (e.g. in the context of invoices or contractual documents between buyer and supplier) remains unaffected by this.
(6) The obligation to use a pseudonym applies exclusively to public presentation on the platform. Price4Parts is entitled to collect, process, and pass on the actual identity data of users to required third parties for contract performance, payment processing (in particular via payment service providers such as Stripe), as well as compliance with statutory provisions (e.g. anti-money laundering and tax law requirements).
31. Platform Development
Price4Parts may adapt or discontinue functions, services, or business models at any time.
31a. Availability of the Platform
Price4Parts does not guarantee the constant availability of the platform or individual functions.
In particular, Price4Parts is not liable for:

outages
-
interruptions
-
delays
-
technical disruptions
-
data losses
Use of the platform is in this respect at the users’ own risk.
32. Disputes Between Users
Price4Parts is not a contractual party between Buyer and Seller.
Disputes concerning offers, contracts, quality, delivery times, payments, or other obligations arising from manufacturing orders exist exclusively between Buyer and Seller.
Price4Parts is not obliged to review, decide, or mediate such disputes.
Price4Parts may voluntarily support users in communication, but assumes no responsibility for the outcome of such disputes.
Such support is provided exclusively without obligation and without assumption of legal, technical, or economic responsibility. Price4Parts in particular assumes no mediation, review, or decision-making function.
This also applies to disputes concerning partial services, project progress, milestones, or partial payments.
33. Platform Availability
There is no entitlement to constant availability.
34. Force Majeure
Price4Parts is not liable for failures due to force majeure.
35. Restriction or Suspension of Accounts
Price4Parts may restrict or suspend accounts in the event of violations.
Price4Parts is entitled to temporarily or permanently suspend or terminate user accounts at any time if this is required for legitimate interests of the platform operator.
Price4Parts may in particular exclude suppliers from the platform if this is necessary to preserve platform integrity, ensure service quality, or for other business reasons.
There is no obligation to state reasons.
36. Liability
The liability of Price4Parts is – except in cases of intent, gross negligence, and damages resulting from injury to life, body, or health – limited to the sum of the platform fees paid by the respective user in the last 12 months.
Irrespective of this, liability per damage event is limited to a maximum of €10,000.
Liability for loss of profit, production failures, business interruptions, indirect damages, or consequential damages is excluded.
Price4Parts is not liable for payment processing via external payment service providers, in particular not for delays, holds, failures, or other disruptions in connection with payments.
Constant availability of the platform as well as complete and permanent storage of data cannot be guaranteed despite technical and organizational measures.
The user is themselves responsible for maintaining their own backup of their data.
The user is obliged to keep their own backup copies of data transmitted or stored within the framework of the platform.
Price4Parts is not liable for data losses unless these are based on intentional or grossly negligent conduct.
This applies in particular to content, files, and project-related data uploaded by the user.
Price4Parts is not liable for damages arising from the manufacture, delivery, or use of products offered or manufactured via the platform.
Liability in connection with environmental or waste law obligations is excluded.
37. Indemnification
Users shall indemnify Price4Parts against all third-party claims arising from violations by the user of these GTC, of statutory provisions, or from content posted by the user.
This also includes reasonable legal defense costs.
- Order of Precedence of Platform Documents
In the event of contradictions between the platform documents, the following order of precedence shall apply:

39. Amendments to the GTC
Changes will be announced at least 14 days in advance.
40. Applicable Law
German law shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods.
41. Severability Clause
Should individual provisions be or become invalid, the validity of the remaining provisions shall remain unaffected.
In place of the invalid provision, a provision shall be deemed agreed that comes closest to the economic purpose of the invalid provision, insofar as legally permissible.
42. Dispute Resolution
The parties shall first seek an out-of-court settlement.
43. International Trade Responsibility
Buyer and Seller are responsible for taxes, customs, and export regulations.
44. Ranking and Visibility
The order in which suppliers are displayed on the platform may depend on various factors.
Possible ranking factors include in particular:

response speed to inquiries
-
offer activity and offer rate
-
success rate in projects
-
completeness and quality of the supplier profile
-
reliability in project execution
-
platform activity
-
geographic proximity or specialization
-
use of additional platform services or premium functions
-
references or representations such as “Find us on Price4Parts” may be purely informative in nature and are not based on a substantive evaluation or quality review by Price4Parts.
Price4Parts reserves the right to adapt ranking mechanisms and display algorithms.
The platform may also use internal scoring, activation, or limitation systems that may influence visibility, scope of functions, project sizes, or payment models.
45. Scoring, Activations and Project-Related Limits
(1) Price4Parts may use an internal scoring, evaluation, or activation system for suppliers in order to manage the use of certain platform functions, project sizes, inquiry volumes, payment models, or other approvals.
(2) Such a system may in particular be based on the following criteria:
-
number of successfully completed projects
-
reviews by users
-
response speed
-
reliability in communication and project execution
-
completeness of the supplier profile
-
previous use of the platform
-
compliance with platform rules
-
irregularities in projects, complaints, or transactions
(3) Price4Parts is entitled, depending on the respective score or other internal criteria, to grant, restrict, or withdraw certain functions, project values, inquiry volumes, partial payment models, or other approvals to suppliers.
(4) In particular, Price4Parts may activate suppliers only up to certain project values, order sizes, or payment models and may make further activations dependent on previous positive use of the platform.
(5) There is no entitlement to a specific evaluation, classification, visibility, activation, or retention of an activation.
(6) The scoring, evaluation, or activation system does not constitute certification, a technical, legal, or economic review, a recommendation, or a guarantee of quality, performance capability, or contract performance.
(7) Price4Parts is not obliged to verify the accuracy of reviews, the achievement of certain quality standards, or the suitability of a supplier for specific projects.
(8) Price4Parts reserves the right to adapt criteria, thresholds, activation logic, and functional scope of the system at any time with effect for the future.
Users may submit complaints regarding platform decisions.
46. Complaint Procedure
Users may submit complaints regarding platform decisions.
For the out-of-court settlement of disputes between Price4Parts and commercial users, an independent mediation body may additionally be involved.
Suitable mediation bodies may in particular be recognized business mediators or mediation bodies of the chambers of industry and commerce.
47. Liability for External Payment Service Providers
Insofar as payments are processed via external payment service providers, Price4Parts assumes no responsibility for their services, availability, review processes, payout times, or decisions.
48. Supplementary Provisions for Buyers
This agreement additionally governs the use of the platform by purchasers in addition to the GTC.

49b Purpose of the Platform
Price4Parts operates a platform for the intermediation of industrial manufacturing services.
Price4Parts is not a manufacturer or contractor.
Contracts arise exclusively between Buyer and Seller.

Buyers must:

49d Use of the Platform

49e Export Control and Sanctions
Buyers undertake to comply with all applicable export control and sanctions regulations.
Buyers may not post projects that:

violate export control laws
-
concern military or prohibited applications
-
concern sanctioned persons or organizations.
Buyers also undertake to correctly specify the actual end user (End-User) as well as the end-use purpose (End-Use).
49f Offer Process
Sellers submit offers.
The contract arises between Buyer and Seller.
Price4Parts is not a contractual party.
49g Payment
Payments are made via external payment service providers, in particular Stripe.
Fees are set out in the fee schedule.
6a. Payment Processing and Release of Payments
Payment processing is governed by Section 17 of the GTC.
Price4Parts has no influence on payment releases, delays, or holds by the payment service provider and assumes no liability for this.
49h Fees
The following may arise:

fees of external payment service providers

platform services
The amount of the platform fees is set out in the respectively valid fee schedule.
49i Communication
Communication should generally take place via the platform.
49j Circumvention of the Platform
Buyers undertake not to commission suppliers whom they have met via the platform outside the platform.
This obligation applies for 24 months after the last platform contact.
49k Contractual Penalty
In the event of a violation, a contractual penalty of up to €10,000 may be imposed.
49l Reviews
Reviews must be objective and truthful.
49m Liability
Price4Parts assumes no liability for:

quality of manufacturing services

delivery times

breaches of contract between users

Visibility, classification, activation, or evaluation of a supplier on the platform does not constitute an assurance, recommendation, or guarantee by Price4Parts with regard to quality, performance capability, or contract performance.
49n Contract Term
Accounts run for an indefinite period.

In the event of contradictions between the platform documents, the following order of precedence shall apply:

In order to comply with international export control and sanctions regulations, Price4Parts may review projects, user accounts, or transactions.
Price4Parts may in particular:

request additional information on the end user or end-use purpose

restrict or block user accounts
-
reject projects or offers.
These measures may be taken if a possible violation of export control, sanctions, or embargo regulations is suspected.
50g Misuse of the Platform
The following are prohibited in particular:

automated scraping

bots
-
systematic data collection
-
use of the platform as a supplier database.
Price4Parts may:

block accounts
-
remove content
-
exclude users.
Disclosure of real names, company names, email addresses, telephone numbers, or other contact data with the aim of circumventing the platform is prohibited.
50h IT Security
Users may not distribute content containing malware or malicious software.
50i Communication and Spam Prohibition
Use of the platform’s communication functions is only permitted in connection with specific projects or business inquiries.
In particular, it is prohibited to:

contact users in bulk without a specific project reference

send unsolicited advertising or marketing messages
-
repeatedly send messages without business relevance
-
harass or pressure other users
-
misuse communication functions for acquisition outside the platform
Price4Parts is entitled, in the event of violations, to:

block or delete messages
-
restrict communication functions
-
temporarily or permanently block user accounts
51. No Guarantee of Business Success
Price4Parts does not guarantee that revenue will be generated via the platform.
52. Amendments
Price4Parts reserves the right to amend these GTC as well as further contractual components with effect for the future.
Changes shall be communicated to users in due time before they take effect.
The current version of the GTC published on the Price4Parts website shall apply in each case.
If the user does not object to the changes within a reasonable period and continues to use the platform, the changes shall be deemed accepted.
