Fee Schedule

This English version is provided for convenience only. In the event of any inconsistency or conflict between the German and English versions, the German version shall prevail.

The current version of this fee schedule shall apply in each case.

The currently valid version can be viewed at any time on the Price4Parts website.

1. Prices and Taxes

For entrepreneurs within the European Union, the reverse charge mechanism may apply in accordance with the applicable VAT regulations.

All stated fees are exclusive of the applicable statutory value added tax (VAT), unless otherwise stated.

Users are solely responsible for the correct tax treatment of transactions conducted via the platform.

1a. Platform Role

Price4Parts is not a contractual party to the agreements concluded between users.

The fees relate exclusively to the use of the platform and the provision of technical services.

Price4Parts assumes no responsibility for transactions concluded via the platform, their execution, or their economic success.

The fees do not constitute a claim to successful matchmaking or economic success.

The services provided by the supplier to the buyer are billed exclusively by the supplier.

The fees charged by Price4Parts relate exclusively to the use of the platform and the intermediation and are independent of the billing of services between supplier and buyer.

Price4Parts is not the provider of the services offered via the platform.

2. Supplier Access

The monthly fee for access to the platform ("Supplier Access") is €149.

Supplier Access includes the use of the platform for presenting the company as well as participation in the digital inquiry and order process, including direct communication options with clients.

Supplier Access includes:

• Access to the Supplier Dashboard
• Setup and management of a company profile
• Publication and management of listings (offers)
• Visibility for 1 selected manufacturing process
• Visibility for inquiries from 1 country (delivery region)
• 20 active listings

In addition, Supplier Access includes the following services:

• Participation in the platform's inquiry and matching system
• Algorithmic matching to suitable inquiries based on stored company and service data
• Receipt and processing of specific production inquiries (RFQs)
• Ability to submit offers in response to incoming inquiries
• Use of communication functions for coordination with clients
• Access to project-related information and documents
• Support for digital order processing via the platform

There is no entitlement to receive specific inquiries, orders, or a certain level of visibility within the platform.

Note: Visibility refers to the respective delivery country. Suppliers are only considered for inquiries from activated delivery countries.

2a. Delivery Regions and Continental Scope

The continent of a supplier is determined by the continent in which the supplier is legally established. Additional delivery countries can only be booked individually within this continent.

Delivery countries outside the supplier's continent cannot be selected individually. Access to such regions is only possible at a continental level and must be booked as a full continent.

This structure ensures fair market participation and prevents selective access to individual, particularly high-demand countries without corresponding regional coverage.

There is no entitlement to specific placement, prioritization, or algorithmic preference within the platform.

3. Annual Prepayment

In the case of prepayment of the monthly base fee for 12 months, only 10 months will be charged.

4. Market Access (Delivery Country)

The extension of visibility to an additional delivery country within the continent of the company's registered office is €99 per month per country.

Visibility determines for which delivery countries a supplier may be considered in the context of inquiries. The prerequisite is the declared ability to deliver to the respective country.

5. Growth Plan

The Growth Plan is €699 per month.

• 4 manufacturing processes included
• 40 active listings included

The Growth Plan increases the supplier's presence within the platform by expanding the services offered and the number of simultaneously available listings.

6. Enterprise Plan

The Enterprise Plan is €1999 per month.

Scope of services as follows:

• International visibility within the marketplace
• 8 manufacturing processes included
• 100 active listings included

The Enterprise Plan enables a comprehensive presentation of the service portfolio as well as extended participation in international inquiries.

International visibility does not constitute targeted market orientation toward specific countries or regions.

7. Additional Services

The following additional services can be optionally booked:

• Additional delivery country (extension of delivery region): €99 per month per country
• Additional manufacturing process: €99 per month per process
• Additional listing: €9 per month per listing

8. Transaction Fees

Transaction fees apply exclusively in the event of a successfully concluded order.

An order is considered successfully concluded when a binding contract has been entered into between the client and the contractor.

This also applies if the initial contact between the parties was established via the platform and the contract is subsequently concluded outside the platform.

An order is considered successfully concluded if:

• The applicable fees are displayed in full prior to the conclusion of the order.

The fees are:

• 8% Buyer Fee on order value
• 8% Seller Fee on order value

For higher order values, different fee rates may apply in accordance with Section 9.

9. Large Orders

from €100,000 order value

• 5% Buyer on order value
• 5% Seller on order value

from €1,000,000 order value

• 3.57% Buyer on order value
• 3.57% Seller on order value

10. Payment Processing

Payments are processed via external payment service providers, in particular Stripe.

Price4Parts is not a payment service provider and has no access to the funds.

Payment processing takes place exclusively between the users and the respective payment service provider.

Platform fees are exclusively owed to Price4Parts.

Fees of external payment service providers may apply additionally and are either settled directly between the user and the payment service provider or displayed within the transaction fees.

For the technical safeguarding of transactions, payment releases, holds, or delayed payouts may be provided within the systems of external payment service providers.

Price4Parts may technically map platform fees via the systems of external payment service providers.

Price4Parts is not a party to the payment processing and is not liable for payment disruptions, delays, holds, or chargebacks.

The release of payments is carried out by the Buyer or automatically if no objections are raised within 14 days after notification of performance.

By releasing the payment, the Buyer confirms that the services have been rendered in accordance with the contract.

After the release has taken place, objections must be resolved exclusively between Buyer and Seller.

11. Billing

Billing is carried out monthly in advance depending on the service and on a transaction basis upon successful order processing.

12. Contract Term

The contract term is determined by the supplier framework agreement.

13. Fee Changes

Price4Parts may adjust fees with 30 days' notice.

Details regarding the procedure for fee adjustments, in particular regarding notification, rights of objection, and possible consequences of termination, are additionally governed by the General Terms and Conditions (GTC).

14. Refunds

Fees already paid are generally non-refundable.

This also applies in the event of suspension of the user account or early termination of use by the user.

15. Currency

All prices in euros.

16. No Guarantee of Success or Orders

The fees regulated in this fee schedule do not constitute consideration for successful intermediation or guaranteed order placement.

In particular, there is no entitlement to:

• receipt of project inquiries (RFQs)
• conclusion of contracts
• revenue or a certain level of capacity utilization

The fees are owed regardless of the actual success of intermediation.

17. Non-Circumvention

Users may not use contacts, business relationships, or project inquiries established via the platform outside the platform for direct contract conclusions.

This applies in particular to follow-up transactions between the same parties within a period of 24 months from initial contact.

An order shall also be deemed to have been concluded via the platform if the initial contact between the parties took place via the platform, regardless of whether the contract is later concluded outside the platform.

In the event of a violation, Price4Parts is entitled to subsequently charge the lost transaction fees and to take further contractual measures.
